Advertisers Terms & Conditions for www.Schooldays.ie

1.0 Agreement

1.1 Inclusion on the Schooldays.ie Directories (the “Service”) is a fee-based service offered by Dewberry Ltd (“Dewberry”) who own and operate a network of specialised online directories including Schooldays.ie
Advertising on Schooldays.ie is provided to you (“the advertiser”) pursuant to the terms and conditions of this Service Agreement (the “Agreement”).

1.2 On agreeing to advertise on Schooldays.ie you represent and warrant that you are 18 years of age or older; that you have and agree to provide true, accurate, complete and current information (including an accurate and valid email address) as prompted by the registration form; and that you agree to be bound by the terms and conditions of this Service Agreement, in the case of a Company, you are authorised to legally bind the Company to this Service Agreement



2.0 Editorial control

2.1 Dewberry reserves the right to determine the final design, layout and functionality of the Schooldays site.

2.2 Dewberry reserves the right to edit copy or amend the layouts or photographs supplied, should it be considered necessary.

2.3 Dewberry reserves the right, at its discretion, to amend and edit copy entered into the Dewberry online database by advertisers.

2.4 Dewberry reserves the right, in its sole and absolute discretion to determine the categorisation and positioning of each advertisement within the Dewberry directory.
2.5 Dewberry cannot be held responsible for any loss or damage resulting from any changes made to the photographs and copy submitted by the advertiser.


2.6 Dewberry, in its sole discretion, before considering any other criteria in determining whether to accept or decline an advertiser’s site link for inclusion in the Dewberry directory, stipulates that the site submitted by the advertiser must meet the following minimum criteria:



• the site must be in the English language (or have an English version available);
• the site must relevant to Schooldays users;
• the site must be relevant to an appropriate established category or sub-category within the Dewberry Network;
• the site must be up and running 24 hours a day, 7 days a week;
• the site must not contain any parts under construction;
• all links on the site must work, link to relevant content and the pages must load quickly;
• the site must not be a mirror site or redirect to another Web site;
• the site must not, as determined by Dewberry editorial team, contain or link to any content, products and services or other information that may be deemed illegal, pornographic, gratuitous,
• graphic violence, racist, offensive or infringes on or violates another party’s rights.



3.0 Accuracy

3.1 Dewberry cannot accept any legal responsibility for the accuracy of the advertisements, or any alleged breaches of contract on an advertiser's part and the advertiser indemnifies Dewberry against all costs, expenses and losses arising out of a claim relating to the content of an advertisement.



4.0 Errors and omissions

4.1 Dewberry will make every effort to safeguard all materials supplied, and return them if required, but cannot be held responsible for any loss or damage, however caused, and for any loss or damage sustained.



4.2 Every effort will be made to reproduce faithfully all advertisements submitted, but Dewberry cannot be held responsible for any loss or damage or otherwise resulting from errors or omission.



5.0 Liability

5.1 Dewberry does not warrant that the operation of the Dewberry site will be uninterrupted or error-free.



5.2 In no event shall Dewberry be liable to the advertiser for any special, consequential, incidental or indirect damages, including lost profits.



6.0 Copyright

6.1 All trade marks are recognised as belonging to their respective companies

6.2 Dewberry shall be entitled to reproduce part or whole of any photographic material supplied by the advertiser.

6.3 It is the advertiser's responsibility to obtain reproduction permission for all photographic and other material used in their advertisements. The advertiser warrants that he is the owner of the copyright in such material or is authorised by the owner thereof to grant to Dewberry the rights therein contained. Dewberry cannot be held responsible for any infringement of copyright laws resulting from material supplied by the advertisers and the advertiser indemnifies Dewberry against any action brought for breach of copyright or other rights from the use of such material supplied by the advertiser.

6.4 Dewberry cannot be held responsible for any infringement of copyright laws resulting from material supplied by the advertisers.



7.0 Hypertext links

7.1 Dewberry reserves the right to refuse hypertext links to, or addresses of, other web sites from advertisers' pages, and to remove links or web addresses without notice at our sole discretion.



8.0 Advertising more than one programme on a single advertisement

8.1 Only one programme or venue can usually appear on each advertisement/listing. Dewberry reserves the right to amend the copy or remove the advertisement, when more than one programme or venue is described in the advertisement.



9.0 Termination of advertising

9.1 If advertisers wish to have their advertisement removed from the web site before the end of their subscription period, this will be done, but no refunds will be paid.

9.2 Dewberry reserves the right to refuse any advertisement for Dewberry and will not be liable for any loss or expense in so doing.

9.3 If an advertiser attempts to enter unsuitable material into the Dewberry online database, or persistently misuses the online systems, Dewberry reserves the right to remove the advertisement from the Dewberry web site. No refunds will be paid.



10.0 Payment and Delivery

10.1 Payment for advertising must be in euro through the on-line payment system provided or a cheque on an Irish bank in euros.

10.2 Advertisements placed via the Dewberry online payment system will normally be activated within 24 hours of payments being successfully processed




11.0 Legal jurisdiction

11.1 These terms and conditions are governed by Irish law and advertisers accept the exclusive jurisdiction of the Irish courts to rule on any disputes.



12.0 Advertiser’s Privacy

12.1 Dewberry maintains information about the Advertiser on the Dewberry servers, including but not limited to the Advertiser’s registration information. The Advertiser agrees and acknowledges that Dewberry may use such information in aggregate form for research and development, marketing, or other promotional purposes. The Advertiser agrees that Dewberry has the right (but not the obligation) to disclose any such information, to the extent necessary, if Dewberry reasonably believes that such disclosure is required to comply with any law or to take action to enforce this Agreement.


12.2 Dewberry may contact the Advertiser regarding the Dewberry services using the Advertiser’s email address provided during the registration process (or as updated by the Advertiser). Such email messages may contain opportunities regarding special offers and new products or services from Dewberry.

12.3 Dewberry considers Internet user privacy and data protection to be of paramount importance. Dewberry complies with the Data Protection Act 1998 in relation to all processing of personal data supplied to us by our users and other personal data in our possession for any reason. Dewberry has notified the Data Protection Commissioner of our practice affecting personal data.
